General Terms and Conditions (AGB)

§ 1
Scope & defense clause
(1) For the legal relationships established via this Internet shop between the operator of the shop, Serrox Technischer Handel Roland Sättler (hereinafter "Provider") and its customers, the following terms and conditions in the version at the time of order apply exclusively.

§ 2 Formation of the contract
(1) The Internet shop is aimed exclusively at commercial customers. The presentation of the goods in the Internet shop does not represent a binding offer by the provider to conclude a purchase contract. The customer is only requested to receive an offer from the provider through his request (request to submit an offer).
(2) By sending the request in the Internet shop, the customer requests a binding offer from the provider aimed at the conclusion of a purchase contract for the requested goods. By sending the request for an offer, the customer also accepts these terms and conditions as solely decisive for the legal relationship with the provider.
(3) The provider confirms receipt of the customer's request for a quotation by sending his quotation by e-mail, fax or post. This offer does not yet represent acceptance of an order by the customer. It merely serves to inform the customer that the offer request has been received by the provider. The acceptance of the contract offer is declared by the delivery of the goods or an express order confirmation.
§ 3 Retention of title
The delivered goods remain the property of the provider until full payment has been made.
§ 4 Due date
Payment of the purchase price is due under the conditions stated on the order confirmation or the invoice, but no later than 30 days after delivery of the goods.
§ 5 Warranty
(1) The warranty rights of the customer are based on the general statutory provisions, unless otherwise specified below. The regulation in § 6 of these General Terms and Conditions applies to claims for damages by the customer against the provider.
(2) The limitation period for warranty claims by commercial customers is 1 year for newly manufactured items and for used items. The above shortening of the limitation periods does not apply to claims for damages by the customer due to injury to life, limb, health or claims for damages due to a breach of essential contractual obligations. Essential contractual obligations are those whose fulfillment is necessary to achieve the goal of the contract, e.g. the provider must hand over the item to the customer free of material and legal defects and procure ownership of it. The above shortening of the limitation periods also does not apply to claims for damages based on an intentional or grossly negligent breach of duty by the provider, his legal representatives or vicarious agents. The right of recourse against entrepreneurs according to § 478 BGB is also excluded from the shortening of the limitation periods.
(3) A guarantee is not declared by the provider.
§ 6 Disclaimer
(1) Claims for damages by the customer are excluded unless otherwise specified below. The above exclusion of liability also applies to the legal representatives and vicarious agents of the provider if the customer asserts claims against them.
(2) Claims for damages due to injury to life, limb or health and claims for damages resulting from the breach of essential contractual obligations are excluded from the exclusion of liability specified in Section 1. Essential contractual obligations are those whose fulfillment is necessary to achieve the goal of the contract, e.g. the provider must hand over the item to the customer free of material and legal defects and procure ownership of it. Also excluded from the exclusion of liability is liability for damages that are based on an intentional or grossly negligent breach of duty by the provider, his legal representatives or vicarious agents.
(3) All our information about our products is based on the best of our knowledge. However, we assume no liability or guarantee for this and reserve the right to make technical changes at any time. It is the buyer's own responsibility to check the information and the suitability of our products for the intended purpose before use. The exclusion of warranty and liability applies - especially abroad - also with regard to property rights of third parties. (4) The Provider cannot guarantee the quality and suitability of the end products that have been manufactured with the Provider's products, since the Provider has and cannot have any influence on compliance with the processing instructions. For special applications, reference is expressly made here to carrying out our own operational tests.
(5) Provisions of the Product Liability Act (ProdHaftG) remain unaffected. § 7 Assignment and pledging prohibition
The assignment or pledging of the customer's claims or rights against the provider is excluded without the consent of the provider, provided that the customer does not prove a legitimate interest in the assignment or pledging.
§ 8th On Bill
The customer only has the right to offset if the claim made for offsetting has been legally established or is undisputed.
§ 9 Choice of Law and Venue
(1) The law of the Federal Republic of Germany applies to the contractual relationships between the provider and the customer. Excluded from this choice of law are the mandatory consumer protection regulations of the country in which the customer has his habitual residence. The application of the UN sales law is excluded.
(2) The place of jurisdiction for all disputes arising from the contractual relationship between the customer and the provider is the location of the provider, provided the customer is a merchant, a legal entity under public law or a special fund under public law.
§ 10 Severability Clause
Should a provision of these General Terms and Conditions be ineffective, this shall not affect the validity of the remaining provisions.

§ 2
Zustandekommen des Vertrages
(1) Der Internet-Shop richtet sich ausschließlich an gewerbliche Kunden. Die Präsentation der Waren im Internet-Shop stellt kein bindendes Angebot des Anbieters auf Abschluss eines Kaufvertrages dar. Der Kunde wird hierdurch lediglich aufgefordert, durch seine Anfrage ein Angebot seitens des Anbieters zu erhalten (Aufforderung zur Abgabe eines Angebots).
(3) Der Anbieter bestätigt den Eingang der Angebotsanforderung des Kunden durch Versendung seines Angebots per E-Mail, Fax oder Post. Dieses Angebot stellt noch nicht die Annahme einer Bestellung durch den Kunden dar. Sie dient lediglich der Information des Kunden, dass die Angebotsanforderung beim Anbieter eingegangen ist. Die Erklärung der Annahme des Vertragsangebotes erfolgt durch die Auslieferung der Ware oder eine ausdrückliche Auftragsbestätigung.
§ 3
Eigentumsvorbehalt
Die gelieferte Ware verbleibt bis zur vollständigen Bezahlung im Eigentum des Anbieters.
§ 4
Fälligkeit
Die Zahlung des Kaufpreises ist mit den auf der Auftragsbestätigung oder der Rechnung genannten Konditionen fällig, spätestens jedoch nach Ablauf von 30 Tagen nach Auslieferung der Ware.
§ 5
Gewährleistung
(1) Die Gewährleistungsrechte des Kunden richten sich nach den allgemeinen gesetzlichen Vorschriften, soweit nachfolgend nichts anderes bestimmt ist. Für Schadensersatzansprüche des Kunden gegenüber dem Anbieter gilt die Regelung in § 6 dieser AGB.
(3) Eine Garantie wird von dem Anbieter nicht erklärt.
§ 6
Haftungsausschluss
(1) Schadensersatzansprüche des Kunden sind ausgeschlossen, soweit nachfolgend nichts anderes bestimmt ist. Der vorstehende Haftungsausschluss gilt auch zugunsten der gesetzlichen Vertreter und Erfüllungsgehilfen des Anbieters, sofern der Kunde Ansprüche gegen diese geltend macht.
(5) Vorschriften des Produkthaftungsgesetzes (ProdHaftG) bleiben unberührt.
§ 7
Abtretungs- und Verpfändungsverbot
Die Abtretung oder Verpfändung von dem Kunden gegenüber dem Anbieter zustehenden Ansprüchen oder Rechten ist ohne Zustimmung des Anbieters ausgeschlossen, sofern der Kunde nicht ein berechtigtes Interesse an der Abtretung oder Verpfändung nachweist.
§ 8
Aufrechnung
Ein Aufrechnungsrecht des Kunden besteht nur, wenn seine zur Aufrechnung gestellte Forderung rechtskräftig festgestellt wurde oder unbestritten ist.
§ 9
Rechtswahl und Gerichtsstand
(1) Auf die vertraglichen Beziehungen zwischen dem Anbieter und dem Kunden findet das Recht der Bundesrepublik Deutschland Anwendung. Von dieser Rechtswahl ausgenommen sind die zwingenden Verbraucherschutzvorschriften des Landes, in dem der Kunde seinen gewöhnlichen Aufenthalt hat. Die Anwendung des UN-Kaufrechts ist ausgeschlossen.
§ 10
Salvatorische Klausel
Sollte eine Bestimmung dieser Allgemeinen Geschäftsbedingungen unwirksam sein, wird davon die Wirksamkeit der übrigen Bestimmungen nicht berührt.
